Course Description
This course examines agreements, including agency, exclusive distributorship, know-how, franchise, and licensing agreements. The course focuses on analyzing these agreements, comparing their legal structures, and evaluating their practical implications within commercial law.

Course Objectives
This course aims to provide students with a comprehensive understanding of atypical contracts by examining the fundamental elements, provisions, and termination conditions of distribution agreements such as agency, exclusive distributorship, franchise, know-how, and licensing agreements. Additionally, the course enables students to compare and analyze the differences between these agreements in a legal context.
Course Outcomes
1. Explain atypical contracts and their fundamental characteristics; evaluate their relationship with the principle of contractual freedom and distinguish them from classical contract types.
2. Demonstrate an understanding of different theoretical approaches in legal doctrine regarding the rules applicable to atypical contracts and analyze which legal provisions may be applied.
3. Identify the fundamental features and types of distribution agreements and distinguish them from other types of contracts.
4. Understand the elements, types, rights, and obligations of the parties, as well as the termination conditions of agency, exclusive distributorship, franchise, know-how, and licensing agreements.
5. Conduct a comparative analysis of distribution agreements, identifying their similarities and differences.
